1. Who we are, and what this covers
Sayso is operated by Upstream Digital Ltd, trading as Sayso ("Upstream Digital", "Sayso", "we", "us"), a company registered in England and Wales (company number 17391096, registered office Wills House, St John's Road, Bristol BS3 1FR). These terms govern your use of the Sayso Chrome extension, the website at sayso.digital, and the Sayso client portal (together, the "Service"). By installing the extension, creating an account, or using the Service, you agree to these terms. If you don't agree, please don't use the Service.
2. What Sayso does
Sayso lets you record a spoken walkthrough of a website and turns each sentence into a comment pinned to a screenshot of the element you meant, which you can share with clients or colleagues as a report or a link. The extension works locally in your browser; publishing a review to the portal stores that review with us so it can be shared. How we handle data is set out in our Privacy Policy.
3. Your account
Some features need an account. We use email one-time codes rather than passwords, so keep access to your email secure - anyone who can receive your codes can sign in. You're responsible for activity under your account. You must be at least 18 and able to enter a contract, and you must give accurate contact details. One person per account unless you're on a plan that includes multiple seats.
4. Acceptable use
When you use Sayso, you agree not to:
- review, record or capture websites you don't own or aren't authorised to review;
- use the Service to break the law, infringe anyone's rights, or capture other people's personal or confidential information without a lawful basis;
- upload or publish content that is unlawful, defamatory, harassing, or infringes intellectual property;
- attempt to reverse-engineer, resell, scrape, overload, or interfere with the Service or its security; or
- use the Service to build a competing product.
You are responsible for the sites you choose to review and for making sure you have the right to review them and to share the results.
5. Your content
Your reviews, recordings, screenshots, notes and reports ("Your Content") are yours. You keep all ownership. To run the Service, you grant us a limited licence to store, process, display and transmit Your Content solely to provide the Service to you and the people you share it with - for example, hosting a published review so its share link works. We don't sell Your Content or use it to train models.
Share links to published reviews are unguessable but are not password-protected: anyone you give a link to can view that review. Treat links like unlisted videos. You're responsible for who you share them with.
6. Beta
Sayso is a young product. The Service is offered "as is" and "as available": features may change, break, or be removed, and there may be downtime. We'll do our best to keep it running well, but you should not rely on Sayso as your only record of anything important - keep your own copies of reports that matter to you.
7. Plans, billing and payment
Sayso has a free plan that stays free. For paid plans, the price, what's included, and the billing period will be shown at the point of purchase, and by subscribing you agree to pay them.
Payments are handled by our reseller and merchant of record, Paddle (Paddle.com Market Ltd), who will appear on your statement and issue your invoice. Paddle collects any applicable VAT or sales tax. Subscriptions renew automatically at the end of each billing period unless you cancel before renewal; you can cancel any time from your account or by contacting us, and cancellation takes effect at the end of the current period. Refunds are covered by our Refund Policy.
Promotional pricing, where offered, is a discount locked to eligible accounts on the terms stated when it's offered; it applies for as long as the subscription remains active and is not transferable.
8. Availability and changes
We may add, change, suspend or discontinue parts of the Service. If we make a material change that affects a paid plan you're on, we'll give you reasonable notice. We don't guarantee any specific uptime.
9. Our intellectual property
The Sayso name, logo, software, and the design of the Service are owned by us and protected by law. These terms don't give you any right to use our brand or copy our software beyond using the Service as intended.
10. Third-party services
Sayso runs in Google Chrome and relies on third parties such as Google (Chrome and speech transcription), Supabase (hosting), Netlify (website) and Resend (email). Your use of those is subject to their own terms, and we're not responsible for them. Optional integrations you switch on (for example Trello, Slack, or an OpenAI key) are used only with credentials you provide and are governed by those providers' terms.
11. Disclaimers
To the fullest extent the law allows, the Service is provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that transcriptions or screenshots will be perfectly accurate. Nothing in these terms excludes liability that cannot be excluded by law - including, for consumers, your statutory rights.
12. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data, or goodwill. Our total liability to you for any claim arising from the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) GBP 50. Nothing here limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that can't be limited by law.
13. Indemnity
You agree to cover us against reasonable claims, losses and costs arising from your misuse of the Service, your breach of these terms, or content you review or publish that you didn't have the right to.
14. Suspension and termination
You can stop using Sayso at any time and delete your account from the portal. We may suspend or end your access if you materially breach these terms or use the Service in a way that risks harm to others or to the Service. If we end your account for reasons other than your breach, and you've paid for time you didn't get, we'll refund the unused portion. On termination, your right to use the Service stops; you can export or delete Your Content beforehand, and see the Privacy Policy for what happens to data.
15. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction - though if you're a consumer, you may also have the right to bring proceedings in your own country.
16. Changes to these terms
We may update these terms. If a change is material, we'll update the "Last updated" date and, for account holders, let you know. Continuing to use the Service after a change means you accept the updated terms.
